Board & Shared Governance

We counsel boards of trustees and senior administrations at institutes of higher learning on the full spectrum of governance issues, including structuring bylaws and committee charters, clarifying fiduciary duties and conflict-management protocols, implementing effective meeting management and Robert’s Rules of Order, and building clear shared-governance frameworks among trustees, presidents, provosts, and faculty senates. We advise on corporate and nonprofit matters, including affiliated foundations and auxiliary organizations, stewardship of endowments and restricted funds, compensation approval processes, whistleblower and document-retention policies, insurance and indemnification, accreditation-related governance expectations, and risk oversight. Beyond compliance, we serve as educators and partner with training boards and leadership teams to facilitate retreats and transitions, and to align governance with mission, strategic priorities, and measurable outcomes for student retention and success.
