Board & Shared Governance

We counsel boards of trustees and senior administrations at institutes of higher learning—public and private postsecondary schools—on the full spectrum of governance issues, including: structuring bylaws and committee charters, clarifying fiduciary duties and conflict-management protocols, implementing effective meeting management and Robert’s Rules of Order, and building clear shared-governance frameworks among trustees, presidents, provosts, and faculty senates. We advise on corporate and nonprofit matters, including affiliated foundations and auxiliary organizations, endowment and restricted-fund stewardship, compensation approval processes, whistleblower and document-retention policies, insurance and indemnification, accreditation-related governance expectations, and risk oversight. More than compliance, we serve as educators and partners—training boards and leadership teams, facilitating retreats and transitions, and aligning governance with mission, strategic priorities, and measurable outcomes in student retention and success.
